Planning Services

Analyze government, tax, and financial restrictions; provide limited liability partnership (LLP), limited liability company (LLC), corporate, general or limited partnership, or joint venture as appropriate form of business structure; prepare corporate articles and bylaws, partnership agreements, operating agreements, or joint venture contracts; obtain interstate business and sales permits and licenses.

Monitor accounting; analyze tax aspects; negotiate and prepare equity financing by individuals, venture capitalists, and other investors; prepare and implement the sale of securities, including syndications; negotiate and prepare debt financing by individuals, banks, venture capitalists, pension funds, insurance companies and other lenders; prepare and negotiate pre-construction sales and leasing; implement compliance with government loan programs such as FHA and VA.

Negotiate and implement real property acquisition, including 1031 exchanges, ground leases and options; title search and evaluation; representation in government land use proceedings, including zoning, condemnation, highway access, and flood control proceedings.

Negotiate contracts with architects, engineers, and other design and construction professionals; analyze building code and government land use requirements; prepare and review contacts; select construction team by bid or negotiation.

Construction Services

Resolve lien disputes, performance and payment bond claims, and contract claims; prepare and negotiate change orders; representation during litigation, mediation and arbitration; mitigate consequences of bankruptcy of contractors, subcontractors, or suppliers.

Review laws and court decisions governing employment practices and employee rights; develop business employment policies; counsel regarding termination of employees; provide representation in disputes with employees.

Dispostion Or Operation Of The Development

Resolve government occupancy permit problems; form and monitor operation of project associations, including condominium and homeowner associations.

Negotiate and prepare sale of entire development or individual interests or units of project; tax planning; dissolve the development entity; monitor repayment of project funding.

Negotiate and prepare leases; resolve business problems arising from day-to-day operations.
